This is a legally binding agreement between you (or the entity you represent, hereinafter “You” or “Your”) and Retroacto Private Ltd. (“Retroacto”) governing your use of Repurly, an online platform designed to facilitate end-to-end software delivery management, accessible at www.repurly.com

Acceptance of the Agreement

To accept this Agreement and use our Services, you must be of legal age to enter into a binding contract. If you do not agree with any of these Terms of Service, please refrain from using our Services. You indicate your acceptance of this Agreement by either clicking a button that confirms your agreement or by actively using our Services.

Definition

To ensure clarity and understanding throughout these Terms of Service, the following definitions apply. Please note that this list is not exhaustive and should not be interpreted in a manner that leads to unreasonable conclusions.
  • Agreement: Refers to these Terms of Service.
  • Retroacto, Us, We, Our: Refers to Retroacto Private Ltd., the company providing the Services.
  • Website: Refers to the platform accessible at https://www.repurly.com, used to operate our Services.
  • Repurly Service: Refers to our website and any services provided through it, including our online meeting software and any other software we may offer.
  • User: Refers to any individual who has registered and possesses a User ID within Repurly to access and use the Services, either individually or on behalf of their organization, including super squad administrators and squad members; as well as anyone who trials or purchases our service, and general website visitors.
  • Personal Data: Refers to any information collected from an identified or identifiable natural person (e.g., email address, first name, last name, location, and address).
  • Processing: Refers to any operation or set of operations performed on personal data, whether automated or not.
  • Profiling: Refers to any form of automated processing of personal data used to evaluate certain personal aspects relating to a natural person.
  • You: Refers to the individual entering into this agreement with us, and includes any organization on whose behalf the individual is registering for repurly.com.
  • Squads: Refers to groups of individuals sharing project-related information.
  • Non-Personal Data: Refers to any information collected from individuals that does not identify a natural person.
  • Administrator: Refers to any natural or legal person, whether public or private, responsible for determining the purposes and means of processing personal data.
  • Processor: Refers to any natural or legal person, whether public or private, who processes personal data on behalf of the administrator.
  • Recipient: Refers to any natural or legal person, whether public or private, to whom personal data is disclosed.
  • Third Party: Refers to any natural or legal person, whether public or private, authorized to process personal data under the direct authority of the administrator or the processor.
  • Project Portfolio: Represents the complete collection of active and planned software development projects within an organization, providing a strategic overview aligned with business goals and resource allocation.
  • Initiatives: Refers to strategic, often cross-functional programs designed to achieve specific business objectives through multiple projects, tasks, and teams.
  • Projects: Refers to defined endeavours undertaken to create a unique software product, service, or result, involving a series of planned tasks with defined objectives within constraints like time, budget, and resources.
  • Idea Canvas: Refers to a collaborative tool used to visually structure and refine new project or feature concepts, facilitating alignment among stakeholders through the capture of key information.
  • Backlog: Refers to a prioritized list of work items, such as features, bugs, and tasks, serving as a single source of truth for a product or project, evolving with changing requirements.
  • Sprint: Refers to a short, time-boxed iteration, typically lasting one to four weeks, during which a development team completes a defined set of work.
  • Retrospective: Refers to a structured meeting held after a sprint or project phase to reflect on performance, optimize processes, and identify actionable improvements.
  • RAID: Stands for Risks, Assumptions, Issues, and Dependencies, and refers to a project management tool used to identify and track potential risks, assumptions, issues, and dependencies.

Description of Service

Retroacto is a comprehensive Software as a Service (SaaS) platform designed to optimize the end-to-end software delivery process. We provide a unified platform for strategic planning, delivery management, and efficient release orchestration. Our service empowers teams with real-time visibility, facilitating seamless collaboration and data-driven decision-making throughout every stage. Repurly’s robust retrospective functionalities cultivate a culture of continuous improvement, enabling teams to learn from each sprint and refine their workflows. We mitigate complexity, allowing you to consistently deliver high-quality software while maximizing team performance and achieving measurable results.

Beta Service

We may offer certain Services as closed or open beta services (“Beta Service” or “Beta Services”) for testing and evaluation purposes. You acknowledge and agree that we retain sole authority and discretion to determine the testing and evaluation period for Beta Services. We shall be the sole arbiter of the success of such testing and the decision, if any, to release the Beta Services as commercial offerings. You are under no obligation to subscribe to any paid Service as a consequence of your participation in any Beta Service. We reserve the right to fully or partially discontinue, temporarily or permanently, any Beta Services at any time, with or without notice to you. You agree that Retroacto Pvt Ltd shall not be liable to you or any third party for any harm related to, arising from, or caused by the modification, suspension, or discontinuation of any Beta Services for any reason.

User Signup Obligations

To access and utilize our Services, you are required to register for a user account by providing all necessary information. If you represent an organization and intend to use the Services for internal corporate purposes, we recommend that you and all other users within your organization register user accounts using your corporate contact information. If you register for the Services on behalf of an organization using an email address provided by your employer or another organization, you represent and warrant that: (i) you are an authorized representative of that entity with the authority to bind that entity to these Terms; (ii) your use of the Services shall bind that entity to these Terms; and (iii) “you” and “your” in these Terms refer to both you and that entity. Should you provide any information that is untrue, inaccurate, outdated, or incomplete, or should Retroacto have reasonable grounds to suspect such information, Retroacto reserves the right to terminate your user account and refuse any current or future use of our Services. You must meet the minimum age requirement to enter into a contract in your jurisdiction, and in no event shall you be less than 18 years of age.

Data Collection and Ownership

For the provision of our Services, we, as administrators, require you to provide information that is adequate, limited, and necessary for the operation of our Services. The data processed within this platform is categorized as follows:

Personal Data:

We collect Personal Data directly from you. Upon registration and use of our Website, you voluntarily provide the following:
  • Email address
  • First name
  • Last name
  • Location
You may modify or update all of the aforementioned information at any time, with the exception of your email address. By registering and utilizing our Services, you grant us permission to process your Personal Data.

Non-Personal Data: 

Non-Personal Data refers to information that is indirectly and/or automatically generated or collected and does not contain personal information. We utilize this data to enhance user experience and for analytical purposes.
Examples of Non-Personal Data include your IP address and user location, as well as:
  • User ID (Email Address): Our backend systems store your User ID for system identification. You cannot directly modify your User ID through our platform.
  • Cookies: These are small data files that do not contain personal information and are commonly used as anonymous unique identifiers. When you visit our Website, cookies are automatically set in your browser to enable basic service functionalities.You may configure your browser to reject cookies; however, this may impair the functionality of certain Services.
We assure you that all content created within your logged-in area, pertaining to software project delivery management, is securely stored and inaccessible through unauthorized means. Access is restricted to users with the shared board URL or, in the case of team boards, authorized team members. You grant Retroacto Pvt Ltd permission to access, copy, distribute, store, transmit, reformat, publicly display, and publicly perform the content of your user account solely for the purpose of providing the Services to you.

Nature of our Service

Repurly is an online platform designed to facilitate team collaboration. We make no representations regarding the effectiveness of our service or the efficacy of ideas generated within Repurly, as the mere use of the platform does not guarantee successful outcomes. You acknowledge and agree that you are solely responsible for the implementation and outcomes of any ideas or discussions, regardless of their origin within Repurly or elsewhere.
Repurly provides, but is not limited to, the following functionalities as part of our Services:
  • Idea Canvas: A tool used to visually structure and refine project or initiative ideas, capturing key information such as user needs, technical feasibility, and business value to ensure stakeholder alignment and centralized tracking.
  • Initiatives: Strategic, often cross-functional programs designed to achieve specific business objectives, typically involving multiple projects, tasks, and teams. Users can create and manage the status of these initiatives.
  • Projects: Defined endeavors undertaken to create unique software products, services, or results, involving planned tasks with specific start and end dates to achieve defined objectives within resource constraints. Users can create and manage the status of these projects.
  • Backlog: A feature for capturing and managing a prioritized list of work items, including features, epics, stories, bugs, and tasks, serving as a single source of truth that evolves with changing requirements.
  • Sprint: A time-boxed iteration, typically lasting one to four weeks, during which a development team completes a defined set of work. This feature enables teams to manage active sprints and review the performance of past sprints.
  • Retrospective Sessions: Depending on the subscription plan, users can create and share unlimited retrospective sessions with squad members, accessible at any time.
  • Retrospective URLs: Users can generate unlimited retrospective sessions accessible via unique URLs, enabling card creation, topic-based card movement, and comment acknowledgment with emoticons.
  • PDF Export: Functionality to export business cases, project reports, and retrospective sessions to PDF format.
  • RAID Management: A tool for managing Risks, Assumptions, Issues, and Dependencies, crucial for project management, applicable to initiatives and projects.
  • Squad Creation: Users can invite squad leads as specified in their subscription form.
  • Action Creation: Users can create, manage, and assign actions to squad members.
  • Cadence: An aggregated team mood indicator based on squad member feedback (including the option to abstain from providing feedback).
  • Secured Admission: Retrospective session participants are securely admitted by super administrators or authorized squad members.
  • Release Planning: Tools for planning, organizing, and tracking releases across multiple milestones.
  • User Management: Functionality to create, manage, and delete Repurly user accounts.
Repurly reserves the right to add or modify functionalities at its discretion and without prior notice. However, significant changes to service functionalities will be communicated via email.

License to use

Upon registering with Repurly, you agree to adhere to the following usage rules. You must not:
  • Violate any applicable laws of India, its states or territories, or any foreign political entity with jurisdiction over this Agreement.
  • Post or transmit content that is violent, threatening, pornographic, racist, hateful, or otherwise objectionable, as determined by Retroacto Pvt Ltd. or its designated representatives.
  • Engage in fraudulent or negligent misrepresentations to us, our representatives, or any third party.
  • Infringe upon the intellectual property rights of others, defame individuals, impersonate others, or otherwise violate third-party rights.
  • Attempt to hack, crack, phish, perform SQL injection, or otherwise compromise the security or integrity of our service or its users’ systems.
  • Engage in any conduct that, at our sole discretion, may bring us or Retroacto Pvt Ltd into disrepute.
  • Create false or multiple accounts.
  • Share your login credentials or permit unauthorized individuals to use your account.
  • Create shared email administration accounts for use by multiple individuals within an organization.
  • Sub-license or sell the right to use our services or create maps to individuals without an active subscription or license.
Upon detecting any such conduct, Retroacto Pvt Ltd will notify the responsible user, remove the offending content from the Repurly Platform, and implement all necessary administrative and legal measures.

Subscription and Cancellation

During the Beta trial period, our Services are provided on a subscription basis. Upon the conclusion of the Beta trial, your subscription will automatically terminate unless you upgrade to a paid subscription. We will notify you via email regarding the Beta trial completion with 30 days’ advance notice. To cancel your subscription during the Beta trial, please contact contact@retroacto.com. Your request will be processed within seven business days.

Service interruptions

Our service may be subject to interruptions for server maintenance, security measures, business operations, or other reasons deemed necessary. While we will endeavor to provide notice of scheduled downtime via email or our website, we make no guarantees of such notification, as circumstances may necessitate immediate action or render notification impractical. You acknowledge and agree that our service may not always be available and that we are not liable for any refunds or damages arising from service interruptions during the Beta period.

Copyrights

We value our copyright and server bandwidth. You agree not to copy, distribute, display, disseminate, or reproduce any content from our website without our prior written consent, even if such use would otherwise constitute fair use or be legally permissible. You may reproduce legal materials obtained from sources other than our server.
Content generated from discussions or brainstorming activities within our service may be reproduced elsewhere with the authorization of the authors or owners, provided such reproduction does not violate applicable laws.
We require assurance that we have the right to utilize content posted by our users. By submitting content to our website, including but not limited to photographs, videos, text, and audio, you grant us a non-exclusive, universal, perpetual, irrevocable, sub-licensable, commercial, and non-commercial right to use the content as necessary to provide our Services. You warrant that you possess the right to grant us this license and agree to indemnify us against any losses or claims arising from a breach of this warranty.

Limitation of liability

To the extent permitted by law, we shall not be liable for any indirect, consequential, special, or punitive damages arising from or related to these Terms or your use of our Services.
  • Beta testing participants agree to indemnify and hold us harmless from any claims, damages, or losses arising from the use of the beta software.
  • We assume no liability for any defects, malfunctions, or other issues encountered during the beta testing period.
  • Beta testing participants agree to provide feedback and report any issues encountered during the testing period, but assume all risks associated with using the beta software.
  • The beta software is provided “as is” without any warranties, and we shall not be liable for any direct, indirect, or consequential damages resulting from its use.
  • Beta testing participants agree to indemnify and hold us harmless against any claims, damages, or losses resulting from their use of the beta software.
  • We reserve the right to terminate the beta testing program at any time, without liability to beta testing participants.

Revocation of Consent

We reserve the right to revoke your consent to use our intellectual property or any other permissions granted under this Agreement at any time. Upon our request, you agree to immediately cease all usage of our intellectual property, even if such action results in losses to you.

Third-Party Software

Our Website may contain links to third-party websites not owned or controlled by Retroacto Pvt Ltd. We assume no responsibility for the content, privacy policies, or practices of any third-party websites.

Final Provisions

Any controversy or claim arising from or related to these Terms shall be exclusively resolved by the courts of Chennai, India, in accordance with Indian law, without regard to conflict of law principles.
